ACCOMPLISHMENTS:
Experience as manager and as attorney in software, banking, financial, insurance, franchise, technology and industrial companies in regulatory, M&A, finance, intellectual property, international and other matters.
Guided three publicly-traded banking and insurance companies through reorganization, the unwinding of over a half billion dollars in asset-backed securitizations, regulatory investigations and eventual liquidation.
Closed 200 acquisitions (public and private), with first-chair responsibility, in diverse industries.
Created a Sarbanes-Oxley-related worldwide ethics hotline and corporate compliance program for a com-pany with over 40 facilities in 19 countries. Goal accomplished in six months with minimal staff and expense using a detailed RFP (request for proposals) process and negotiating fixed-fee arrangements with selected local counsel.
Numerous manufacturing, technology transfer and license transactions, in software, hardware, components and metallurgy in Europe and Asia.

BROOKE CORPORATION:
Chief Executive Officer; General Counsel. Hired as senior counsel and became CEO of publicly-traded companies engaged in banking, specialty finance, underwriting and franchising. Led company through re-organization, unwinding of over $600 million in asset backed securitizations, regulatory investigations and eventual liquidation. Before the credit crisis, Brooke was the nation’s largest franchisor of independent in-surance agencies, with 900 locations in 25 states, over 600 corporate employees and gross revenues of $1 billion.
